Please read these terms carefully. They explain the rules for using our website and the conditions that apply when you work with HertIQ on a software or AI project.
1. Acceptance of these terms
By accessing https://hertiq.com (the “Website”) or engaging HertIQ for any services, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, please do not use the Website or our services.
If you are entering into these Terms on behalf of a company or other organisation, you confirm that you have the authority to bind that organisation, and “you” refers to that organisation.
2. About us
HertIQ is a trading name of HertIQ Global LLC (filing ID 2026-002092815), with its registered office at 30 N Gould St, Ste R, Sheridan, WY, United States (“HertIQ”, “we”, “us” or “our”). We provide custom software development, AI solutions, web and mobile applications, automation, cloud and enterprise solutions.
3. Our services and project agreements
The specific scope, deliverables, timeline, fees and acceptance criteria for any engagement will be set out in a written proposal, statement of work, or service agreement (each a “Project Agreement”). These Terms apply to every Project Agreement. If a Project Agreement conflicts with these Terms, the Project Agreement prevails for that engagement.
Any change to an agreed scope must be requested in writing. We will estimate the impact on cost and timeline, and the change becomes part of the Project Agreement only once both parties approve it (a “Change Request”).
4. Your responsibilities
To help us deliver your project successfully, you agree to:
- provide accurate information, content, feedback and approvals in a timely manner;
- provide access to systems, accounts, data and personnel reasonably needed for the work;
- ensure you have the right to share any materials, data or content you give us;
- review deliverables within the review period stated in the Project Agreement.
Delays caused by missing inputs or approvals may extend timelines and, where they require additional work, may incur additional fees.
5. Fees and payment
Fees, payment schedules and accepted payment methods are set out in each Project Agreement. Unless stated otherwise, invoices are payable within 14 days of the invoice date and fees exclude applicable taxes, which will be added where required by law.
We may pause work on any project with overdue invoices until payment is received. Refunds are subject to our Refund Policy.
6. Intellectual property
Your project deliverables
On receipt of full payment for a project, ownership of the custom code, designs and other deliverables created specifically for you under a Project Agreement transfers to you, unless the Project Agreement says otherwise.
Our pre-existing materials
We retain ownership of our pre-existing tools, libraries, frameworks, know-how and generic components (“Background IP”). Where Background IP is incorporated into your deliverables, we grant you a non-exclusive, perpetual, royalty-free licence to use it as part of those deliverables.
Third-party and open-source components
Deliverables may include third-party services, AI models or open-source software, which remain subject to their own licence terms. We will make reasonable efforts to identify significant third-party components used.
Website content
All content on the Website, including text, graphics, logos and code, is owned by or licensed to HertIQ and may not be copied or reused without our written permission.
7. AI solutions
AI and machine learning systems produce outputs based on statistical patterns and may occasionally generate results that are inaccurate, incomplete or unexpected. While we design AI solutions with testing, safeguards and human-review options, you are responsible for:
- reviewing AI outputs before relying on them for important decisions;
- ensuring your use of AI solutions complies with laws and regulations that apply to you;
- having appropriate rights and consents for any data used to train, fine-tune or operate AI features.
8. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party in connection with a project, and to use it only for the purposes of that project. This obligation does not apply to information that is public, already known to the receiving party, independently developed, or required to be disclosed by law. A separate non-disclosure agreement may also apply.
9. Warranties
We will perform our services with reasonable skill and care, in line with generally accepted industry practices. Where a Project Agreement includes a warranty or support period, we will fix defects reported during that period that cause deliverables to materially fail to meet the agreed specification.
Except as expressly stated, the Website and our services are provided “as is” and we make no other warranties, express or implied, to the extent permitted by law. We do not guarantee that software will be entirely error-free or uninterrupted.
10. Limitation of liability
To the maximum extent permitted by law:
- we are not liable for any indirect, incidental, special or consequential loss, including loss of profits, revenue, data or business opportunity;
- our total liability arising from or relating to any project is limited to the total fees paid by you under the relevant Project Agreement in the 12 months before the claim arose.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence.
11. Termination
Either party may terminate a Project Agreement by written notice if the other party materially breaches it and fails to remedy the breach within 14 days of being notified. Other termination rights may be set out in the Project Agreement.
On termination, you will pay for all work performed and expenses incurred up to the termination date, and we will deliver work completed and paid for up to that date.
12. Acceptable use of the Website
When using the Website, you agree not to:
- use it for any unlawful purpose or in breach of these Terms;
- attempt to gain unauthorised access to the Website or its systems;
- introduce malware or interfere with the Website’s operation;
- scrape or copy content for commercial use without our permission.
The Website may link to third-party sites. We are not responsible for their content or practices.
13. Privacy
Our handling of personal information is described in our Privacy Policy.
14. Applicable law and disputes
These Terms are construed and enforced in accordance with the laws of State of Wyoming, USA. The parties will first try to resolve any dispute in good faith through discussion. If it cannot be resolved within 30 days, it will be subject to the exclusive jurisdiction of the courts of Sheridan County, Wyoming.
15. Changes to these terms
We may update these Terms from time to time. The updated version will be posted on this page with a new effective date. Changes do not affect Project Agreements already signed, unless both parties agree in writing.
